TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the PATOX website, products, subscriptions, and related services (collectively, the “Services”).

The Services are operated by ClearPath Commerce LLC, doing business as PATOX (“PATOX,” “we,” “us,” or “our”).

By visiting our website, purchasing a product, enrolling in a subscription, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services or purchase PATOX products.

By using the Services, you represent that the information you provide is accurate, complete, and current.

2. Health and Product Information

PATOX products are dietary supplements and are not medicines. Information provided through our website, packaging, advertising, emails, or other materials is for general informational purposes only and is not medical advice.

You should consult a qualified healthcare professional before using any dietary supplement, particularly if you:

Are pregnant or nursing;
Are taking medication;
Have a medical condition;
Are under medical supervision;
Are scheduled for surgery; or
Have allergies or sensitivities.

Always read and follow the product label. Stop using a product and seek medical advice if you experience an adverse reaction.

Individual results may vary. Customer testimonials describe individual experiences and do not guarantee that you will achieve the same or similar results.

These statements have not been evaluated by the Food and Drug Administration. PATOX products are not intended to diagnose, treat, cure, or prevent any disease.

3. Product Availability and Descriptions

We make reasonable efforts to display product descriptions, images, ingredients, quantities, and prices accurately. However, packaging, product appearance, ingredient sourcing, and other details may change.

We do not guarantee that website colors or product images will display accurately on every device.

All products and offers are subject to availability. We may limit quantities, discontinue products, correct errors, or cancel orders when reasonably necessary.

4. Orders and Acceptance

Submitting an order constitutes an offer to purchase the selected products. An order confirmation does not necessarily mean that we have accepted the order.

We may accept, decline, limit, or cancel an order for reasons including:

Product unavailability;
Incorrect pricing or product information;
Suspected fraud or unauthorized activity;
Payment issues;
Shipping restrictions; or
Violation of these Terms.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method.

5. Pricing, Taxes, and Payment

Prices are displayed in the currency shown during checkout and do not include applicable taxes or shipping charges unless expressly stated.

You authorize PATOX and its payment processors to charge your selected payment method for all amounts disclosed at checkout, including applicable taxes, shipping fees, and subscription charges.

You represent that you are authorized to use the payment method provided. If a payment cannot be processed, we may suspend or cancel the applicable order or subscription.

We may change product prices and promotions at any time. Price changes will not affect completed one-time purchases. Subscription price changes will be communicated before they apply as required by applicable law.

6. Subscription Program and Automatic Renewal

If you select a subscription option, you are enrolling in an automatically renewing purchase program.

Before you complete enrollment, the checkout page will disclose the material subscription terms, including:

The product included in the subscription;
The amount charged;
The delivery and billing frequency;
Any introductory price or discount;
When recurring charges begin; and
How to cancel.

By completing a subscription purchase, you expressly authorize PATOX to automatically charge your selected payment method at the disclosed frequency until you cancel.

Your subscription will continue and renew automatically unless it is canceled in accordance with these Terms.

Subscription discounts apply only while the subscription remains active and may not be combined with other offers unless expressly stated.

7. Subscription Cancellation

You may cancel your subscription at any time through the subscription-management section of your online account, if available, or by emailing Support@TryPatox.com.

Your cancellation request must include enough information for us to identify your subscription, such as your name, order number, and the email address used to place the order.

Cancellation takes effect for future renewals. To avoid your next recurring charge, submit your cancellation request before the next scheduled billing date.

If an order has already been billed, processed, or shipped before the cancellation request is completed, that shipment generally cannot be stopped. It will be handled under our applicable return and refund policy.

Canceling a subscription does not automatically refund charges already incurred. Refunds are provided only when required by law or permitted under our posted return and refund policy.

We will not charge a cancellation fee unless a specific fee was clearly disclosed and accepted before enrollment.

8. Subscription Changes and Failed Payments

Where account functionality is available, you may be able to update your shipping address, payment method, product selection, quantity, or delivery frequency before an upcoming order is processed.

Changes submitted after an order has entered processing may apply only to later shipments.

If a recurring payment fails, we may:

Retry the payment method;
Ask you to update your payment information;
Delay the shipment; or
Suspend or cancel the subscription.

You remain responsible for charges properly incurred before cancellation.

9. Shipping and Delivery

Shipping times are estimates and are not guaranteed. Delays may occur because of carrier operations, weather, inventory availability, incorrect address information, customs processing, or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate shipping address. Additional shipping charges caused by an incorrect or incomplete address may be your responsibility where permitted by law.

Risk of loss and title pass as provided under applicable law and the shipping terms displayed during checkout.

International customers are responsible for determining whether a product may lawfully be imported into their destination and for paying applicable customs duties, taxes, or brokerage charges.

10. Returns and Refunds

Returns, replacements, and refunds are governed by the return and refund policy displayed on our website at the time of purchase.

To request assistance with an order, contact Support@TryPatox.com and provide your name, order number, and a description of the issue.

We reserve the right to deny a return or refund where permitted by law if a product is ineligible, the applicable return period has expired, or we reasonably suspect fraud or abuse.

Nothing in these Terms limits any non-waivable consumer rights available under applicable law.

11. Promotions and Discount Codes

Promotions and discount codes may be subject to separate terms, expiration dates, eligibility restrictions, and product limitations.

Unless otherwise stated, promotional offers:

Have no cash value;
Cannot be combined;
Apply only to qualifying purchases;
May be limited to one use per customer; and
May be changed or withdrawn before an order is completed.

We may reject or cancel a promotion that is used fraudulently, unlawfully, or contrary to its terms.

12. Accounts and Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

Notify us promptly at Support@TryPatox.com if you suspect unauthorized access to your account or payment information.

We may suspend or terminate an account that we reasonably believe has been compromised or used unlawfully.

13. Acceptable Use

You may not use the Services to:

Violate any law or regulation;
Commit fraud or impersonate another person;
Submit false payment or account information;
Interfere with the website or its security;
Introduce malware or harmful code;
Scrape, copy, or harvest website content without authorization;
Resell products in violation of an applicable reseller restriction;
Infringe intellectual-property or privacy rights; or
Engage in conduct that harms PATOX, its customers, or its service providers.

14. Intellectual Property

The PATOX name, branding, product designs, website content, graphics, photographs, videos, text, and other materials are owned by or licensed to ClearPath Commerce LLC and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the website for your personal, noncommercial use.

No content may be copied, reproduced, modified, distributed, sold, or commercially exploited without our prior written permission.

15. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, payment processors, delivery services, or platforms.

We do not control and are not responsible for third-party services, content, security, availability, or privacy practices. Your use of a third-party service may be governed by separate terms and policies.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CLEARPATH COMMERCE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, OR ERROR-FREE, OR THAT A PRODUCT WILL PRODUCE A PARTICULAR RESULT.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARPATH COMMERCE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM THE SERVICES OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO PATOX FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited or excluded.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ClearPath Commerce LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, and reasonable costs arising from:

Your unlawful or unauthorized use of the Services;
Your violation of these Terms; or
Your infringement of another person’s rights.

19. Termination

We may suspend or terminate your access to the Services if you violate these Terms, engage in suspected fraud, misuse the Services, or create a risk of harm or legal liability.

Termination does not eliminate obligations or liabilities incurred before termination.

Sections that by their nature should survive termination will remain effective, including provisions concerning payment obligations, intellectual property, disclaimers, liability limitations, and dispute resolution.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where the mandatory consumer-protection laws of your jurisdiction apply.

Any dispute that is not resolved informally will be brought in a court of competent jurisdiction, subject to applicable law.

21. Changes to These Terms

We may update these Terms to reflect changes in our Services, business practices, or legal obligations.

The revised Terms will be posted on the website with an updated effective date. Material changes affecting an active subscription will be communicated when required by applicable law.

Your continued use of the Services after revised Terms take effect constitutes acceptance of those revisions, except where additional consent is legally required.

22. Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum lawful extent or removed, and the remaining provisions will remain in effect.

23. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

24. Entire Agreement

These Terms, together with our Privacy Policy, Return and Refund Policy, Subscription Policy, and any terms displayed during checkout, constitute the entire agreement between you and ClearPath Commerce LLC regarding the Services.

If subscription terms displayed at checkout conflict with these general Terms, the checkout terms accepted for that subscription will control with respect to the conflicting subscription details.
